Please read these Terms of Service ("Terms," "Agreement") carefully before using the services provided by OneAgentCo ("Company," "we," "us," or "our"). These Terms govern your access to and use of the OneAgentCo website at oneagentco.com and all associated services.

By submitting an intake form, signing a service agreement, or otherwise engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (the "Client") and OneAgentCo. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

You must be at least 18 years old to use our services. By using our services, you represent that you meet this requirement.

2. Description of Services

OneAgentCo provides the following services ("Services"):

The specific scope of services for each client is defined in the applicable build plan and service agreement provided after the intake call. OneAgentCo reserves the right to modify, suspend, or discontinue any aspect of the Services with reasonable notice.

Service Level: OneAgentCo targets 99% monthly uptime for managed AI employees. Scheduled maintenance windows will be communicated in advance. Uptime is measured on a calendar month basis.

3. Account & Client Responsibilities

As a client, you are responsible for:

You acknowledge that AI systems may make mistakes. Human oversight of AI employee outputs is recommended for critical business decisions.

4. Payment Terms

Setup Fee

A one-time setup fee is charged upon commencement of the build. The setup fee covers configuration, deployment, and initial testing of your AI employee. Setup fees are non-refundable once the build process has begun, except where OneAgentCo fails to deliver the agreed build within the specified timeline.

Monthly Management Fee

The monthly management fee is billed in advance on a recurring monthly basis. The fee covers hosting, monitoring, backups, security patching, and the monthly improvement cycle.

Payment Processing

Payments are processed through our payment provider. By providing payment information, you authorize OneAgentCo to charge the applicable fees. You agree to keep your payment information current.

Late Payment

If payment fails, we will notify you and provide a 7-day cure period. Continued non-payment may result in service suspension or termination.

Pricing Changes

We reserve the right to adjust pricing with 30 days written notice. You may cancel your service before a price increase takes effect without penalty.

5. Intellectual Property & Ownership

Your Data & Configurations — You Own Everything

All configurations, scripts, personas, memory files, and data created as part of your AI employee belong to you. OneAgentCo has no claim of ownership over any client-specific deliverables. Upon termination, we will provide a complete handover package containing everything we built for you.

OneAgentCo Technology

OneAgentCo retains ownership of its underlying methodologies, frameworks, templates, and know-how, including techniques developed through cross-client learning. Client deliverables are customized implementations of these capabilities and belong to you; the underlying methods belong to us.

OpenClaw Runtime

OpenClaw is a third-party AI agent runtime. Use of OpenClaw as part of your AI employee is subject to OpenClaw's own license terms. OneAgentCo facilitates deployment of OpenClaw on your behalf.

Website Content

All content on the OneAgentCo website (text, graphics, logos, designs) is the intellectual property of OneAgentCo and may not be reproduced without written permission.

6. Data & Confidentiality

OneAgentCo treats all client data as confidential. We will:

By using our Services, you authorize OneAgentCo to access and process data from the tools and systems you connect to your AI employee, solely for the purpose of operating that AI employee on your behalf.

8. Disclaimers & Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ONEAGENTCO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

You acknowledge that AI systems can produce unexpected outputs and that human review of AI actions is advisable for critical business operations.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ONEAGENTCO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

ONEAGENTCO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

10. Termination

Termination by Client

You may cancel your monthly service at any time with written notice to [email protected]. Cancellation takes effect at the end of the current billing period. You will not be charged for subsequent months.

Termination by OneAgentCo

We may terminate your service with 30 days notice for any reason, or immediately in cases of material breach of these Terms, non-payment, or illegal use of our services.

You agree to indemnify and hold harmless OneAgentCo and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

These Terms are governed by applicable law. Any disputes arising from these Terms will first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property or data security matters.

We may update these Terms from time to time. When we make material changes, we will notify active clients by email and update the "Last updated" date above. Continued use of the Services after changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
